1. Introduction

Welcome to VoiceToText Pro. These Terms of Service ("Terms") govern your access to and use of the VoiceToText Pro website, mobile applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations. By using the Service, you agree to these Terms and our Privacy Policy.

Throughout these Terms, we may use certain capitalized terms. These terms have the following meanings:

  • "Content" refers to any audio, text, graphics, images, music, software, audio, video, information or other materials that are uploaded, downloaded or appear on the Service.

3. Account Registration and Requirements

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify VoiceToText Pro of any unauthorized use of your account.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old.

4. Subscription and Payments

VoiceToText Pro offers various subscription plans. By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. Payments will be charged on the day you sign up for a subscription and will cover the use of that service for the period indicated.

Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. We may change subscription fees at any time, but changes will not affect the current subscription period. We will provide you with reasonable notice of any change in renewal fees.

You may cancel your subscription at any time, but no refunds will be provided for any unused portion of the current subscription period.

5. User Content

You retain all rights in, and are solely responsible for, the User Content you upload, post, email, transmit, or otherwise make available via the Service. By uploading User Content, you grant VoiceToText Pro a worldwide, non-exclusive, royalty-free license to use, copy, process, adapt, modify, publish, transmit, display, and distribute such User Content for the purpose of providing the Service.

You represent and warrant that: (i) you own the User Content or have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

6. Prohibited Uses

You agree not to use the Service to:

  • Upload, post, email, transmit, or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content transmitted through the Service.
  • Upload, post, email, transmit, or otherwise make available any User Content that you do not have a right to make available under any law or under contractual or fiduciary relationships.
  • Upload, post, email, transmit, or otherwise make available any User Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
  • Upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
  • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
  • Violate any applicable local, state, national, or international law.

7. Intellectual Property Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of VoiceToText Pro and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VoiceToText Pro.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Service, you agree to the collection, use, and disclosure of information in accordance with our Privacy Policy.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

VOICETOTEXT PRO, ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

11. Limitation of Liability

IN NO EVENT SHALL VOICETOTEXT PRO, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN SOME JURISDICTIONS, THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless VoiceToText Pro, its parent company, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
